Acceptance of Terms

By using any of the services or websites operated by SERNET Financial Services Pvt Ltd (‘SERNET’) including Tradetor (Trading), Tick Funds (Investments), and Tushil (Insurance), you agree to be bound by these Terms and Conditions, our Privacy Policy, Disclosures, Investor Charter and other applicable regulatory frameworks.

These Terms shall be governed by the laws of India. All disputes shall be subject to the exclusive jurisdiction of courts located in Mumbai, Maharashtra. The user and SERNET agree to submit to the personal and exclusive jurisdiction of the courts located at Mumbai, Maharashtra, India.

The materials in SERNET website/app are provided ‘as is’ and without warranties of any kind either expressed or implied and to the fullest extent permissible pursuant to applicable law. Although SERNET Financial Services Pvt. Ltd., hereafter known as SERNET has made every attempt to ensure accuracy and reliability of the information disseminated on the site/app, any errors which may have crept in are accidental and are solely out of inadvertence. By accessing and browsing the site/app, you accept, without limitation or qualification, the terms of service of SERNET which retains the right to revise these rules at any time.

Identity & Authentication

SERNET will establish your identity on its online Services by means of a phone number or email and will authenticate it by either a password selected by you, or a one time password (OTP) sent to your email or mobile phone, or third party authentication services provided by third parties such as Google and Facebook, or biometric identification enabled by your device. Any instructions provided to, or communication with, SERNET or its Service Partners which are so authenticated will be considered to have originated from you

Third Party Service Partners

For the provision of Services, SERNET may utilise third party service partners (“Service Partners”) other than SERNET. The use and operation of any integrated services from our Service Partners such as investment advisory, investing in bonds and structured products, loan against securities, insurance, data aggregation, etc. will be additionally governed by the relevant service terms and contracts of the respective Service Partners. SERNET shall not be liable for any penalties, loss or damage which is incurred by You due to the negligence or actions of any Service Partner of SERNET and not caused by any action of SERNET. Eligibility

Only individuals or institutions legally competent under Indian law, including NRIs and PIOs with proper KYC and banking arrangements, are eligible to use our services. Users must ensure all information provided is accurate, complete, and current at the time of account setup and usage.

Nature of Services

Tradetor facilitates trading via Choice Equity Broking Pvt Ltd (SEBI Regn: INZ000160131). SERNET acts as a facilitator and is not the broker of record.

Tick Funds offers mutual fund distribution, PMS, AIF, and fixed income distribution. SERNET is AMFI registered (ARN 35275) but does not offer investment advice.

Tushil distributes insurance through a tie-up with Safetynet Insurance Service Pvt Ltd (IRDAI Regn: CA0785) and does not underwrite policies.

All services are transactional and distribution-based in nature unless otherwise stated.

User Responsibilities

You confirm that the information provided by you here shall remain accurate.

Users agree to maintain the confidentiality of login credentials and are solely responsible for all activities under their account. Users must not upload unlawful, infringing, or malicious content or interfere with the platform’s operations.

Provision of Services

You acknowledge and agree that, for the provision of Services under this Agreement:

  • SERNET shall carry out all activities that are required to fulfil its regulatory obligations for the provision of Services under this Agreement.
    Your access to our Services is associated with a username and password (together “Login Credentials”) and SERNET will consider the instructions placed with the use of your Login Credentials to have originated from You. You are solely responsible for the security of your Login Credentials. SERNET shall not be held liable for carrying out any instructions placed from your account utilising your Login Credentials which may be unauthorized due to any reason including an information leak or security breach on your part.
  • SERNET may utilise third party vendors (“Vendors”) for support in provision of Services.
    A list of Vendors utilised by SERNET is available here.
  • SERNET, or its Vendors, may
    • contact you on issues relating to provision of Services;
    • communicate with its Service Partners or Manufacturers (as defined under Annexure) and their authorized service providers on your behalf for financial or non-financial transactions; and
    • record all your interactions with them including phone calls, chats, conversations and emails, with its employees for legal compliance, security, employee training, and other lawful purposes.
  • Any sort of graphical representations, recommendations, feedback and reviews, provided on the investment platform, are in no way a guarantee for the performance of the securities, mutual funds and other financial products.
  • Other than as expressly set out in this Agreement, neither SERNET nor any of its Service Partners, as the case may be, make any specific promises about the Services provided. The Services are provided ‘as is’
  • Your bank may charge you a fee for facilitating transactions, or for failing to maintain sufficient balance to make an investment from your bank account. SERNET does not levy nor does it receive those charges.

Intellectual Property

All content, brand names (SERNET, Tradetor, Tick Funds, Tushil), graphics, interfaces, and technology are the intellectual property of SERNET or its partners and may not be reproduced without prior written consent.

SERNET hereby grants you permission to use the site/app as set forth in these terms of service provided that you will comply with all of them. You agree not to use, copy, modify, reformat, create derivative works, publicly display, download, store, reproduce, transmit, provide links to, republish, upload, post, reprocess or distribute any content on the site/app, including without limitation, the text, scripts, graphics, software, data, information, photos, and the like or use any content on the site/app for any commercial purposes. You may download material displayed on the site/app for non- commercial, personal use only. If you download material, you agree to maintain all copyright and other proprietary notices contained on the material.

Limitation of Liability

SERNET shall not be held liable for any direct, indirect, incidental, or consequential damages arising out of:

  • Trading losses or market risks.
  • Non-performance of third-party products or services.
  • Cyber attacks, force majeure, or system failures.
  • Regulatory or tax implications of investment or insurance decisions.

Indemnity

You agree to indemnify, defend, and hold SERNET, its Service Partners and its Vendors harmless from and against any and all losses, including legal fees, arising out of or relating to your failure to comply with the provisions of this Agreement.

Limitation of Remedies

  • In no event will SERNET, its Service Partners, its Vendors or their respective officers, directors, or employees be liable for any action performed or omitted to be performed or for any errors of judgment in relation to your account.
  • SERNET shall not be held accountable for any losses incurred as a result of any actions / occurrences as set out in Clause 10 (Limitation of Liability) of this Agreement or such actions / occurrences not attributable to SERNET.
  • A gesture of goodwill on behalf of SERNET such as refunds and / or reimbursement of transaction charges or any other sum, shall not constitute an acknowledgment of any wrongful act or liability by SERNET and you shall not have any further or additional recourse, legal or otherwise against SERNET.

Modifications and Discontinuation

SERNET reserves the right to modify, suspend, or discontinue any part of its website, services, or product offerings at any time with or without notice.

Such changes may include, among other things, the adding of certain fees or charges. If we make changes to our terms of service and you continue to use our site/app, you are implicitly agreeing to the terms of service, disclosures and privacy policy expressed herein.

Miscellaneous

If any of these conditions are deemed invalid, void, or for any reason unenforceable, the parties agree that the court should endeavor to give effect to the parties’ intentions as reflected in the provision, and the unenforceable condition shall be deemed severable and shall not affect the validity and enforceability of any remaining condition. The Terms of Service and the relationship between you and SERNET will be governed by the laws as applicable in India. Any dispute(s) arising out of these Terms of Service will be handled in the competent courts of Mumbai, Maharashtra, India.

General Provisions

Force Majeure: The parties hereby agree that the period of time during which SERNET is prevented or delayed in the performance or fulfilling any obligation hereunder, due to unavoidable delays caused by an event of Force Majeure shall be added to SERNET’s time for performance thereof; and SERNET shall have no liability by reason thereof. In such an event SERNET agrees and endeavours to fulfil its obligations under this agreement as expeditiously as possible upon ceasing of such event of Force Majeure. A “Force Majeure” event for the purposes of this Agreement shall include an act of God, flood, earthquake, fire, explosion, strike, war, civil commotion, insurrection, embargo, riots, political disturbances, lockouts, epidemics, pandemics, any act, law, regulation or order of the government, systemic electrical, telecommunications, network or other utility failures affecting SERNET to render services, including failure on account of a cyber threat / risk.

Severability: If any provision of this Agreement is held by a court of competent jurisdiction, or arbitration panel, as applicable, to be unenforceable under applicable law, then such provision shall be excluded from this Agreement and the remainder of this Agreement shall be interpreted as if such provision were so excluded and shall be enforceable in accordance with its terms; provided however that, in such event this agreement shall be interpreted so as to give effect, to the greatest extent consistent with and permitted by applicable law, to the meaning and intention of the excluded provision as determined by such court of competent jurisdiction or arbitration panel, as applicable.

Further Assurance: Each of the parties shall perform such further acts and execute such further documents as may reasonably be necessary to carry out and give full effect to the provisions of this Agreement and the intentions of the parties as reflected hereby.

Assignment: Neither You or SERNET may assign or otherwise transfer the rights under this Agreement without written consent of the other.
