VEDANTA SETS MAY 01, 2026 AS THE RECORD DATE

Vedanta has finally made the announcement. The Record Date (RD) for the demerger will be 01-May. That means, all shareholders whose name appears in the official shareholder register on 01-May will be eligible to get demerged entity shares. However, 01-May being a holiday, the ex-date for the stock would be 30-April, by when investors must have delivery.

To have delivery by 30-April, investors must have bought shares of Vedanta Ltd latest by 29-May, so that under T+1, they get delivery on 30-April. However, for serious investors, it is advised to not wait till 29-May and probably purchase the shares before that. This is a simple demerger so, prima facie, transaction itself would be value neutral to investors.

HOW WILL THE DEMERGER RATIO OF 1:1 WORK FOR VEDANTA?

Under the terms of the demerger (approved by NCLT), Investors will get 1 share in each of the resultant companies, for each share held in Vedanta Ltd. The five resultant companies and their implicit business would be as under.

Vedanta Ltd: The existing listed company. This will retain the base metals business, the stainless-steel business of FACOR and Nicomet, as well as the 60.71% holding in Hindustan Zinc Ltd. In addition, Vedanta Ltd will also act as the incubator for new businesses of the group like semiconductors, displays etc.

Vedanta Aluminium: This will be the aluminium business of the group. It will include the Jharsuguda Smelter, Lanjigarh Alumina Refinery, and the 51% stake in BALCO. It supplies to high-end sectors like defence, aerospace, EVs, and renewable energy.

Vedanta Oil & Gas: This will include the upstream oil & gas exploration business that Vedanta had acquired from Cairn Energy. It operates over 60 blocks and produces nearly 25% of India’s domestic crude output.

Vedanta Steel & Ferrous Materials: This will include ESL Steel, Iron Ore business of former Sesa Goa, and specialized mining operation. It also includes Western Cluster Ltd (WCL) and targets 13 MTPA iron ore production and 3.5 MTPA steel capacity.

Vedanta Power: This demerged entity will include all the independent power producers (IPPs) of Vedanta, including Athena and Meenakshi. It has nearly 5 GW of independent power capacity; spread across Punjab, AP, Chhattisgarh, and Odisha.

The allocation of shares will be done in the ratio of 1:1 in each of the resultant companies. For example, an investor holding 1,000 shares of Vedanta Ltd prior to the merger, will end up holding 1,000 shares of Vedanta Ltd; 1,000 shares of Vedanta Aluminium; 1,000 shares of Vedanta Oil & Gas, 1,000 shares of Vedanta Steel & Ferrous Materials; and 1,000 shares of Vedanta Power. The transfer of shares will be done in a value neutral manner.

The big question is whether the demerger will be able to create value for shareholders post the demerger, and whether it makes the pre-demerger stock of Vedanta attractive?

PURPORTED BENEFITS OF THE VEDANTA DEMERGER

There are some clear benefits emanating from the demerger of Vedanta Ltd.

In a combined structure, shareholders see the risk of opaque capital allocation to specific business verticals. This tends to depress valuations. However, when the businesses are split, the capital allocation becomes most need-based.

High debt levels have traditionally been a problem with Vedanta, although net debt levels have been coming down. Demerging into separate verticals makes these companies more cautious about debt. This tends to reduce the overall solvency risk.

Investors get a finer choice of the specific line of business that they want to invest in. For example, investors may be interested in mining stocks, not in metal stocks. They may be interested in commodities, but not in power. The choices will be more granular now.

Management of the company can still be centralized, but there are much clearer goals and targets for each business. Profit performance and capital allocation can be measured on the basis of tangible numbers.

In the past, Vedanta Ltd was treated as a diversified holding company with multiple interests. That puts a cap on valuations, since holding company discount kicks in. With businesses demerged on vertical lines, that discount should gradually go away.

Impact on valuations should be long-term positive, even if the demerger, per se, may be value neutral. Vertical specific capital allocation, risk management and risk taking should help value creation in the long run.

Let us check if the demerged Vedanta can really create value for shareholders?

WHAT ARE THE POST-DEMERGER VALUE TRIGGERS FOR VEDANTA?

Vedanta Ltd currently trades at a market cap of ₹2.96 trillion and has a dividend yield of 4.5% based on historical FY26 dividends. That is attractive, if one considers that the stock has nearly doubled in the last one year. According to early estimates, at the current pre-demerger price of ₹757/share, the upside potential purely from P/E multiple expansion will add about ₹80-₹100 to the stock price. Also, the value of highly valuable units like HZL are not fully captured in the market cap of Vedanta. That will change post demerger.

The consolidated business of Vedanta trades in the P/E range of 14X-16X, which is par for the course for a multi-commodity company. Hence, valuation upsides will have to come from P/E expansion from business separation and future growth. A lot will depend on how rapidly the parent company is able to scale down debt. The resultant 4 companies will take about 6-8 weeks to list and the real SOTP value will only be known after that. However, if Vedanta is able to reduce net debt / EBITDA to 1.4X by FY27 (as claimed by Vedanta), it should be on track for value accretion for the group companies.
